LINGOWS Terms & Conditions

TECH CO INDUSTRIES DBA - LINGOWS, LINGOWS MEDIA, LINGOWS IT & SEOCIALIZED (referred to here as “Lingows” or “Lingows Media” or “Lingows IT”) terms and conditions are simple and straightforward. These are activated once an email of confirmation from you for your order (of any kind of service we offer) is received by our team or when you avail of any of our services through our website, online order forms, All Access platform, or through our partners, or resellers.

“Client”, “Customer” or “You/Your” refers to anyone Lingows is dealing with to provide our products and services.

Lingows and Client or Customer are each referred to as “Party” and collectively as the “Parties”.

A “Project” means a series of tasks that need to be completed to reach a specific outcome such as, but not limited to, a website or a custom development feature.

Lingows will use email, chat, zoom or Google meetings, and/or text messaging for any form of communication with you.

Lingows holds no responsibility if there will be outside links, such as third-party applications or websites, that have changes or major updates that affected the functionality 5 days after the submission approval date. 

Lingows makes no guarantees that any of its products or services will increase your business, give you page one Google ranking, increase revenues, or even cure global warming, the common cold or create world peace.

Lingows believes that the customer is not always right. If you treat any of our staff with disrespect with verbal or written abuse we will advise you of that, and ask you to play nice.

The team of Lingows is under strict non-compete clauses with the employment contracts that they sign. Should you approach any of our team behind our back and discuss the potential of them working for you “on the side”, you could place them in legal jeopardy and possibly cost them their job. So please be respectful of your relationship with Lingows and the well-being of our team. Should any of these points arise, we also reserve the right to terminate our business with you.

Lingows reserves the right to decline projects that have content that is discriminatory, violent, or sexually explicit.

We update our Terms and Conditions from time to time (without prior notice) so we suggest you check it now and then by going to https://www.lingows.com/terms-and-conditions.

All dollar figures here are in US Dollars currency, unless otherwise, clearly specified.

WEBSITES

  • Definition of terms
    • “Website” and “site” are used here interchangeably both hold the same meaning referring to a page or collection of pages on the World Wide Web.
    • “Full build” refers to (if used as a verb) building the site fully on the Duda platform; (if used as a noun) a website completely built or will be built on the Duda platform.
    • “Minor changes”, “Minor edits”, or just “Edits” refer to any edits or changes in the text, replacement of images, or change of color, but it does not considerably affect the layout of the website and does not include technical work. This does not include any additional pages or features.
    •  “Web content” refers to the text, visual or audio content that is made available online and user encountered as part of the online usage and experience on websites. It may include text, images, sounds and audio, videos, and internal or external links, among other items placed within web pages.

  • Websites in General
    • Lingows requires its clients and customers to complete our official build forms for each site you want us to build so it gets through our system and won’t get lost in an email thread.
    • Lingows will use images/photos/graphics provided by you or will offer images from its library or the internet. For any image found that is required to be purchased, Lingows will advise you of the cost. Upon your approval, this cost will be added to your invoice.
    • For any sourced images that we use on your website from the internet that are FREE and available for public use, we do not own the rights to these images nor charge you for them. Lingows does not guarantee that your website is the only website that uses these images. Lingows highly recommends the use of your OWN photos and images on your website rather than the free stock images.
    • Images and videos should be properly labeled and of the best quality possible. Videos should only be on YouTube or Vimeo; no other formats will be accepted. Lingows will not be responsible for restoring low-resolution images or recreating/redesigning an image/video to make it a high resolution.
    • Lingows will build your website using the Duda Platform under OUR Duda account.
    • The client is responsible for the final approval and checking of the web content published on their website.
    • Lingows will only provide access to the website after it has been made live. Any changes made by the client that result in site damages, malfunction, and the like, will not be the responsibility of Lingows. We will be able to repair the damage at an additional cost. 
    • Lingows will transfer the website, template, or any product/service to your account only after the invoices are fully paid.

  • Custom Websites
    •  Custom websites may consist of one or more pages.
    • Custom websites are designed based on your reference website/s and the specifications you provided on the build form.
    • All web content (text, images, videos, etc) needed to complete your website must be submitted before we proceed with the full build.
    • Any custom development and features you need for your website must be specified in the build form or discussed with our team before the quotation is provided and before commencing with the build. Any additional requirements and features after the quotation is sent are subject to review and additional charges.
    • Lingows will provide you with a quotation and estimated timeframe after reviewing all the requirements and specifications you sent to us.
    • In cases where the customer has a current website, Lingows must be informed of the total number of pages and the features they want to keep for the new site before we provide a quotation.
    • Lingows will design a mockup and present that to you within 3 business days for approval before the site moves to a full build. The mockup is a design concept in nature and contains minimal content. This mockup will be charged at a rate of a front-page build and is payable regardless of moving to a full build site or not. If a full build site is ordered, the mockup cost will be waived and only the site build cost will be invoiced.
    • Upon approval of this mockup, Lingows will invoice you in full based on the quotation that you have agreed to, and once settled, Lingows will then proceed to the full build of the website which will be finalized within the timeframe mentioned on the proposal.
    • Lingows is open to a 50% deposit if the final quotation exceeds $1,000.00. Please contact us if you’d like this option, or if you want to explore other payment terms.
    • Lingows will design and build your website using the information, specifications, and assets you provided us with on the build form.
    • Lingows offers two (2) free sets of minor changes after the site is done. The customer is expected to check all the pages of the site on different devices before sending back changes. Any additions/changes to the site that have not been provided in the initial specifications and are not associated with the original specifications will be completed at an additional cost.

GRAPHIC WORKS

Logo, Brochure, Business Cards, Flyers
    • Lingows requires the customer to fill out the order form and include all the necessary details to get started. Lingows will then advise the total cost of the project unless otherwise explicitly stated.
    • Lingows will send an invoice for the project and requires full payment before starting with the project. Some order forms with fixed prices will have a payment gateway integration.
    • Lingows will create 2 versions of the logo and will submit the JPG files with watermarks within 2 business days.
    • Lingows allows 1 set of changes for free for the logo if there's anything that needs to be adjusted according to the client's initial request.
    • Change of reference or a new set of instructions will be considered as a new order. We will advise you of the cost, send an invoice, and start once paid.
    • After the customer approves the design, they will receive the PSD/AI file of the order.
    • Once the files are sent to the customer, no refund on payments or credits will be issued.

WEBSITE SUPPORT

Website Support covers questions and website changes but does not involve technical work, custom development, and/or any website add-ons.
    • The client will contact Lingows through our online forms or by sending an email at [email protected] for any website support they need.
    • Website Support Packages. Lingows offers website support packages. Please contact [email protected] to avail a monthly package.
    • All monthly subscription of website support requires a three (3) months commitment and billed one month in advance.
    • Change of package or plan. If the client wishes to change the website support package, the client must contact Lingows at [email protected]. The new plan will take effect in the next billing cycle, provided the service is paid.
    • Cancellation. To cancel the service, the client must give at least 30 days' notice. The cancellation will take effect the following billing cycle after the 30 days of notice have passed.
    • Lingows has the right to suspend the service if the payment fails and terminate the service after failed retries. The client still needs to pay Lingows for any unpaid services. The service will resume once all outstanding invoices are paid.

TECHNICAL WORK, WIDGET DEVELOPMENT AND INSTALLATIONS

  • Lingows will analyze, and ask for more information or clarification regarding the inquiry and specifications that were provided by the client and send suggestions or recommendations.
Lingows will then determine the level of technical work and will send an initial step-by-step flow, cost, time frame, and requirements.

At this point, the customer is expected to approve, object, or send changes to the flow. Once approved and any changes are applied/considered, Lingows will send the final cost, timeframe, and requirements.

  • Once the customer agrees with the final flow and the costs associated with it, it means that the customer has understood all the things discussed regarding the project and will cooperate to provide the all requirements needed to proceed with the project.
  • Lingows will send an invoice for the full amount (in some cases, for big custom development, a deposit) and will start the project once paid.
  • Any additional features or adjustments made that are not included in the original specifications will be subject to review and additional costs. Once all parties agree with the additional specifications and the costs, an invoice will then be raised and once paid, Lingows will proceed with the additional changes.
  • Lingows has the right to discontinue a project if the customer failed to provide the complete information. No refund or credit will be issued for the work that’s already been done on the project.
  • Once Lingows submitted the technical work or widget, the client must check the said work on their end and approve it's all working and the project is complete.
Any objection after the approval will be subject to investigation as to whether it needs an additional cost or not.
  • License of Widgets. When you purchase a widget from Lingows, you acquire the right to use that item; you're not acquiring the item itself. What you get includes a license directly from Lingows to use that item, and Lingows is the owner of the Intellectual Property of that item. The item is for use only, it is not to be copied, sold, lent, rented, given away, or gifted, you can’t even put it in your will. It is for use for your sites only on the Duda dashboard we install the item in.
  • All Lingows widgets are developed to work with the Duda platform. Once Lingows transfers any widget to another dashboard of any Duda account. We do not guarantee the performance of the widget should there be a conflict due to any other code or application non-Duda being added to the Duda site for which the widget is intended. Should the user of Lingows widget change, adjust, add any code themselves, or introduce any other third-party code as part of any other application from any other party we do not guarantee the performance or operation of Lingows widget as originally intended, and therefore will take zero liability in sites performance issues.
  • With all Widget purchases, please choose carefully as there is no refund or redemption once any widget has been transferred to your account as we cannot take it back. Also, note that there is a no-refund policy on any technical works to enhance or customize any widget. Your acceptance of a proposal by Lingows signifies your agreement to pay all invoices pertaining to all or any works to that proposal you have agreed upon via a return email.

  • Technical Development Support - Limitations
Any request that isn’t covered by the Technical Development Support plans will be charged at a standard price.

For the Subscription Plans
If the hours purchased by the client have been used up, any additional changes would be priced under the hourly technical support.
Unused hours will not be carried to the next month’s hours.
No refund will be allowed for developments under this plan.
  • Widgets on Duda App Store. Widgets that are on Duda App Store are only available to purchase through the App Store and are on a per-site basis, meaning, you can use it for one site only. If you need to use it on more than one site, you need to purchase additional subscriptions.
    • You may request widget customization by contacting us through the Duda App Store or by sending us an email at [email protected]. The customization will only be applied to the widget on the website it is installed in. If there’s more than one site concerned, please let us know so we can quote accordingly.
  • Widgets and Custom Development Work Warranty. Lingows warrants that the widgets and custom development works will perform as they are intended to do without defects during the term stated below. If these services do not perform as warranted, we will use all reasonable efforts, consistent with industry standards, to fix any defect. If an update occurs and does not affect the performance of the widget or the custom development work, or still works as advised at the time of purchase, this will not be covered by this warranty. If the client wishes to update to enhance the performance or have an upgrade, the client may request this by contacting us, and support charges will apply.
This warranty also excludes any defects, malfunctions, or performance issues arising from any changes or modifications made by the client or any third-party applications used on custom development, and Lingows will not be responsible for any resulting damages or expenses.

(b) Custom Development Work of any level - Covered for 14 days upon completion

  • Once the proposal is approved and has been paid for, any changes in the scope and scale of work will not be upheld and will be up for a new discussion. In addition, the payment will be non-refundable, non-transferable, nor can be used in other services, especially if the reason falls out of scope from the pre-approved proposal.

DIGITAL MARKETING

  • Lingows Media creates & builds campaigns and optimizes websites based on the purchased package and the information and assets provided on the order form. Missing or incomplete details will affect the delivery time and completion. We require all customers to complete the SEM/SEO form as much as possible.
  • Optimization. Lingows must be informed of any changes made to your website. Search engines on the other hand constantly launch new updates and adjust algorithms accordingly, and such, search ranking fluctuation for SEO and traffic fluctuation for SEM may occur. This may result in unfavorable outcomes which are out of Lingow’s control, and we are not liable of such activities or events. We’ll try to optimize and align our strategies based on these updates, ensure that we promote the latest products and services of the business, and will advise the client for any additional costs that may apply.
  • Client Approval. Customers must review, liaise, and approve any details that are being sent by Lingows Media. Without or delayed approval will hold the publishing process where ads will not serve online or work will be delayed which can result in a restart of the activities.
  • Required Credentials. Any Google Account that the Lingows Media requires must be provided (e.g. Google Analytics, Google My Business, and Google Search Console). If you do not wish to provide us with your login credentials, we can provide an email address where you could share Google Accounts through there. As part of the fulfillment, we create a dedicated Google Account to use for white-labeling. The created dedicated Google Account will be used to store all clients' Google-related accesses needed for SEM/SEO management (such as Google Analytics, Google Tag Manager, Google Ads MCC ID, etc).
We require allowing granted permission at the highest level possible. Confidentiality of your credentials being shared with Lingows Media is expected to be maintained.

  • Service Scope. Other requests like scripts that are not part of the availed package must be done and installed by the customer’s developer. Lingows Media can do it for you, if requested, with an additional charge.
  • Reports. Lingows Media provides monthly reports of the campaign performance, which will be sent only to you (except Local SEO Reports).
  • Recommendations. Lingows Media will advise of any suggestions for improvement or restructuring (if necessary) depending on the current market, demands of the searchers, trends, and other key metrics that may affect the optimization and management.
  • Platform. Lingows Media provides SEM Services to customers with websites built in Duda, WordPress, Shopify, Weebly, Wix, or any top website builder platforms out there.
  • Subscription. All of Lingows Media’s monthly subscription services will be billed for the first three months in advance and then on a month-to-month basis from the fourth month and so on. Annual subscription is also available upon request.

INTELLECTUAL PROPERTY

  • Any copyrightable works, ideas, discoveries, inventions, patents, products, documents, databases, emails, accounts, passwords, or any other information developed in whole or in part by Lingows in connection with the provision of services to the client shall be the exclusive property of Lingows and the client shall retain no ownership, interest, or rights therein.
  • The client acknowledges that all Intellectual Property Rights in any Confidential Information or Software developed by Lingows, and in any enhancement, modification, or customization of such Software, and any other material proprietary to Lingows, vests exclusively in Lingows, and that the client will not infringe Lingows’ Intellectual Property Rights, nor seek to exploit or use any such material for its own purposes unless agreed in writing between both parties.
  • The client further acknowledges that all Intellectual Property Rights in the Confidential Information and the Software, in any other material proprietary to Lingows, and in any enhancement, modification, or customization of the Software developed by, utilized by, or provided to the client in connection with the client's engagement of Lingows to provide services to the client remains the property of Lingows, and the client acquires no right or interest in such property.
  • Where the client is given access to any such Software or any other thing in which Lingows has Intellectual Property Rights, and following provision to such access the client authors any works in which copyright subsists, or develops or creates any inventions or processes (whether capable of registration or not) (collectively Works), as legal and beneficial owner the client hereby:
      • assigns to Lingows all rights, titles and interest in and all rights subsisting in the Works anywhere in the world, including all Intellectual Property Rights in the Works and all proprietary rights subsisting in any material form of the Works;
      • assigns to Lingows all copyright subsisting in the Works which is created in the future;
      • agrees to assign to Lingows the right, title and interest in and to all rights subsisting in future works, anywhere in the world, including the Intellectual Property Rights not assigned under (a) or (b) and the proprietary rights subsisting in any material form of the Works not assigned under (a);
      • assigns to Lingows the right to claim (and retain) any damages and other remedies (including but not limited to an account of profits) for past infringement of and wrongful interference to the Works which arose before this assignment; and
      •  warrants that the client will procure consents with respect to all moral rights subsisting in the Works, including consent to do all acts or omissions in relation to the Works, whether occurring in the past, present, or future, from all clients and contractors involved in the creation of the Works that, but for this consent, would infringe any moral rights or similar rights the client or contractors may have anywhere in the world.

All Intellectual Property Rights (including, without limitation, all database rights, rights in designs, rights in know-how, patents, and rights in inventions (in all cases whether registered or unregistered and including all rights to apply for registration) and all other intellectual or industrial property rights in any jurisdiction) in any information, content, materials, data or processes contained in or to this website belong to the Lingows. All rights of Lingows in such Intellectual Property Rights are hereby reserved.


Confidentiality with fulfillment partners. Lingows respects you and your clients and we have a total “Non-Solicit” policy. Your clients and your information are yours and we do not cross the confidential line.
